Acceptance of Terms
By accessing the company’s website or engaging its services, users agree to these terms of service. These terms form a binding agreement governing the provision and use of services, unless otherwise modified in a mutually signed agreement. Continued use after modifications have been posted constitutes acceptance of the updated terms.
Service Usage
Services are provided subject to availability and any specifications set forth in a mutually agreed scope of work. The organization will use commercially reasonable efforts to meet timelines and performance targets, but cannot guarantee specific outcomes due to variables outside its control, including platform policy changes, third-party actions, and market conditions. Users warrant that materials provided to the company do not infringe third-party rights and comply with applicable laws.
Intellectual Property
Unless otherwise specified in a written agreement, the company retains ownership of proprietary methodologies, tools, templates, and pre-existing intellectual property. Deliverables created for a client under a specific engagement will typically be licensed to the client for internal business use upon full payment, while underlying frameworks and background materials remain the company’s intellectual property. Users must not reproduce or distribute proprietary materials without prior authorization.
Limitation of Liability
To the fullest extent permitted by law, the company’s liability for any claim arising out of or relating to the services shall be limited to direct damages up to the total fees paid for the specific services at issue. Under no circumstances will the company be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages.
Termination
Either party may terminate an engagement as set out in the respective agreement or scope of work. Upon termination, outstanding fees for services performed up to the termination date become immediately due. The company may suspend or terminate access to services if a user breaches these terms, engages in unlawful activity, or fails to make timely payments.
Changes to Terms
The organization reserves the right to modify these terms of service from time to time. Material changes will be communicated in an appropriate manner, and continued use of services following posting of revised terms indicates acceptance of those changes. For specific contractual engagements, written amendments agreed by both parties will govern over these standard terms.
